Website Terms of Access & Copyright Agreement (Builders)

1. Definitions and Interpretation
 
1.1 Definitions
The following definitions apply in this agreement:

• “Builder” means a user or business accessing the Home Design Vault Ltd platform with the intent to view, use, or request architectural plans, images, or documentation.

• “Content” means all materials made available on the Home Design Vault Ltd website, including but not limited to architectural drawings, renders, plans, imagery, documents, specifications, and written text.

• “Documentation” means all files, drawings, and supporting materials provided by Home Design Vault Ltd in any form.

• “Home Design Vault Ltd” means the company operating the Home Design Vault platform, including all its employees, directors, agents, and contractors.

• “Intellectual Property” means all intellectual property rights relating to the Content, whether registered or unregistered, including copyright, design rights, and moral rights.

• “Permitted Use” means access for the sole purpose of viewing and considering Content for potential use under license by a builder within the limits of this agreement.

• “Proposal” means a formal agreement, if issued, detailing pricing and scope for customised architectural services beyond standard platform access.

• “Nominated Party” means any third party company or consultant formally engaged or approved by Home Design Vault Ltd to perform services on its behalf.
   

1.2 Interpretation

• Headings are for convenience only and do not affect interpretation.

• The singular includes the plural and vice versa.

• References to "you" or "Builder" include your business and authorised users.
   

2. Ownership and Intellectual Property

2.1 All Content on the Home Design Vault Ltd website is the exclusive property of Home Design Vault Ltd.

2.2 All copyright, design rights, and other intellectual property in the Content are retained by Home Design Vault Ltd. No ownership is transferred by access or download.

2.3 The Builder is granted a limited, non-transferable, revocable license to view and consider Content under the terms of this agreement.

2.4 Any content, designs, drawings, documentation, or other material created by Home Design Vault Ltd on behalf of a Builder shall remain the copyright property of Home Design Vault Ltd.

2.5 Upon full payment for the design services, Home Design Vault Ltd will provide the Builder with updated designs and consent documentation, which will be governed under a separate agreement to be issued and signed by the Builder.

3. Permitted Use by Builders

3.1 Builders may:

• View Content solely for the purpose of reviewing potential house designs.

• Present Content to clients as part of preliminary discussions, provided proper attribution is maintained and no Content is modified or misrepresented.
   

3.2 All use must comply with this agreement and any additional written permissions from Home Design Vault Ltd.
 
4. Restrictions on Use


4.1 Builders may not:

• Copy, alter, reproduce, distribute, or publish any Content without prior written permission.

• Submit Home Design Vault Ltd drawings or imagery to councils, clients, consultants, or third parties as their own.

• Use Content for marketing or advertising without consent.

• Remove watermarks, logos, or design attributions from any Content.

• Share login credentials or allow access by third parties.

• Use any Home Design Vault Ltd plans under a franchise business or business model, whether online or offline.
   

4.2 Use of Content outside the terms of this agreement constitutes a breach of copyright and may result in legal action.
 
5. Modifications and Derivative Works

5.1 All drawings, concepts, or works derived from Home Design Vault Ltd designs must be created by or in collaboration with Home Design Vault Ltd or its Nominated Party.

5.2 Builders may not engage third-party designers or drafters to modify or redraw any Content without written approval.

5.3 If a Builder requires changes to a plan, they must request a customisation or variation through Home Design Vault Ltd.

6. Termination of Access

6.1 Home Design Vault Ltd reserves the right to terminate or suspend access to its services or products immediately, without prior notice or liability, for any reason, including (but not limited to) breach of these Terms.

6.2 Upon termination:

• The Builder must delete any downloaded Content.

• No further use or sharing of Content is permitted.

• Home Design Vault Ltd may also terminate your account without refund where access to data rooms has been granted.
   

7. Confidentiality

7.1 Builders must not share login credentials or grant access to third parties.

7.2 All Content is considered commercially sensitive and confidential unless otherwise stated in writing.

8. Dispute Resolution

8.1 Any dispute arising from this agreement will be resolved through good faith negotiations.

8.2 If unresolved, disputes will be referred to arbitration under the Arbitration Act 1996, with a single arbitrator appointed by AMINZ.

8.3 Arbitration will be held in Christchurch, New Zealand.

9. Governing Law

9.1 This agreement is governed by the laws of New Zealand.
9.2 Builders submit to the exclusive jurisdiction of New Zealand courts.

10. Disclaimers and Limitations

10.1 All house designs and plans from Home Design Vault Ltd are concept plans only.

10.2 Home Design Vault Ltd gives no warranty that the land on which you intend to build is suitable for the proposed design, or that the design will comply with planning or building regulations applicable to that land.

10.3 Nothing contained on this website shall be interpreted as specific legal, planning, or design advice. Builders are advised to engage appropriately qualified professionals for such services.

11. Payments and Refund Policy

11.1 All payments are processed via direct bank transfer, PayPal, or Stripe.

11.2 No work will commence until full payment is received.

11.3 Any design changes beyond the quoted scope require a new invoice and payment in advance.

11.4 All payments are final — no refunds for packages, products, or data room access.

11.5 Access may be revoked without refund in case of a breach of these Terms.

By accessing the Home Design Vault Ltd website as a Builder, you acknowledge and agree to these Terms of Access.
